Succession planning for board directors and top management
I、The succession plan for board directors
the Company currently has a total of 9 directors (including 4 independent directors) and they all have the management expertise needed such as commerce, financial accounting, or company business. The future composition of the Company’s Board of Directors and directors’ experience background will be extended from current structure continuously. Regarding the succession planning of the Board of Directors, there are currently several senior management professionals in service; therefore, the Company has sufficient talents to fill up the vacancies of directors in the future. In terms of independent directors, they are required by law to have work experience in the fields of business, legal affairs, finance, accounting, or corporate business. There is no shortage of professionals in this field in Taiwan; therefore, the Company’s succession plan for independent directors may come from the industry.

II、The succession plan for the top management
there are 18 managers and assisting managers in service who are classified as the important management level of the Company. The departmental job description handbook and responsibilities description handbook have all been completed for them; also, their designated job agents have all been properly trained and educated. In addition, the rotation of key talent in each department is carried out in accordance with the development strategy, various investment plans, and employee resignation/retirement status for cultivating talents in various aspects in order to facilitate the cultivation of talents for the future to come.

I、The Board of Directors appointed Executive Deputy General Manager, CHAO,HUI-CHEN as the Governance Director of the Company mainly in charge of matters related to Meetings of Board of Directors and shareholders, preparing meetings of Meetings of Board of Directors and shareholders, assistance to appointment of directors and continuous studies, provision of information required for directors to operate businesses, and assistance of directors to comply with laws and regulations to protect rights of shareholders and enhance functions of the Board of Directors according to laws and regulations.

II、In 2024, execution of matters related to company governance is described below: Assistance to Chairman and Chairs of committees to organize eight meetings of Board of Directors, seven Audit Committee meetings, four Remuneration Committee meetings, one Nomination Committee meetings, and 2024 General Shareholders’ Meeting, Provision of information required for business operations of directors, quarterly report to the Board of Directors on legal compliance, and real-time handling of requests of directors.
